Terms of Service

1. Acceptance of Terms

By registering for or using IEMSuite ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. Acceptance is recorded (document version, date/time, IP address) at registration.

2. Description of Service

IEMSuite is a cloud-based inventory management and manufacturing operations platform: inventory and lot tracking, production batches, quality control (QC/NCR), order and shipment workflows, cost analytics, and a Shopify embedded app with bi-directional synchronization.

3. Beta & Early Access

The Service is currently in beta and provided free of charge during Early Access. Features may change without notice. The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied. No service-level agreement (SLA) is offered during beta. We may modify, suspend, or discontinue any aspect of the Service at any time.

⚠ Data Loss Disclaimer: while we take all reasonable precautions to protect your data, we accept no liability for data loss during the beta period. Maintain your own backups of critical business data.

4. Account Registration & Approval

Access requires an application that is manually reviewed and approved by our team. We may reject any application at our sole discretion. You must provide accurate, complete, and current information and keep your credentials confidential. You are responsible for all activity under your organization's accounts.

5. Fees, Payment & Cancellation

The Service is free during Early Access. When paid plans launch, prices and billing terms will be announced in advance and will require your explicit action to subscribe - you will never be charged silently. Web subscriptions are processed by Stripe; Shopify-connected workspaces will be billed per the mechanism announced at launch. You may cancel at any time; cancellation stops future charges and does not retroactively refund past periods unless required by law.

6. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) attempt unauthorized access to any systems; (c) transmit malicious code; (d) infringe third-party rights; (e) resell or redistribute the Service without our written permission; (f) interfere with other tenants' use of the platform.

7. Data Ownership, Privacy & Shopify Data

You retain ownership of all data you input. You grant us a limited license to process it solely to provide the Service. Personal data is processed per our Privacy Policy, Turkish Law No. 6698 (KVKK), and the GDPR where applicable.

Shopify commitment: merchant and customer data obtained through Shopify (including derived, aggregated, or anonymized forms) is used only to provide the Service to you and is never used to create, train, fine-tune, or improve any AI/ML system, in line with the Shopify Partner Program Agreement (as updated Feb 27, 2026).

8. Data Processing Addendum (DPA)

Where you use the Service to process personal data of your own customers (e.g. Shopify order/customer records), you are the data controller and IEMSuite acts as your data processor. In that capacity we: (a) process such data only on your documented instructions and only to provide the Service; (b) ensure persons authorized to process it are bound by confidentiality; (c) apply the technical and organizational measures described in our Privacy Policy; (d) engage the sub-processors listed in the Privacy Policy and remain responsible for them; (e) assist you, insofar as reasonably possible, with data-subject requests and breach notifications; (f) delete or return such data at contract end, save for legally required retention; (g) make available information reasonably necessary to demonstrate compliance. 9. Limitation of Liability

To the maximum extent permitted by applicable law, IEMSuite and its owners, officers, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including lost profits or lost data) arising out of or relating to the Service. Our total aggregate liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim (during the free beta this amount may be zero). Nothing in these Terms excludes liability that cannot be excluded under mandatory law.

10. Intellectual Property

All rights, title, and interest in the Service, including all intellectual property rights, belong to IEMSuite. No right to our trademarks, logos, or branding is granted without prior written permission.

11. Suspension & Termination

We may suspend or terminate access immediately for breach of these Terms or where required to protect the platform or other tenants. Upon termination your right to use the Service ceases. We retain your data for 30 days post-termination for export on request, after which it may be permanently deleted.

12. Governing Law & Disputes

These Terms are governed by the laws of the Republic of Türkiye. The courts and enforcement offices of Istanbul (Çağlayan) have exclusive jurisdiction, without prejudice to mandatory consumer-protection or data-protection forums available to you under your local law.

13. Changes to Terms

We may update these Terms. Material changes are notified to registered users by email, and the version number above changes. Where required, continued use will be conditioned on re-acceptance of the new version.
